1. General

1.1. Services: CertifiedCarbon.com provides two primary services:

a. Carbon Offset Sales: We sell voluntary carbon credits (“VCCs”) which relate to underlying carbon credits (“UCCs”) sourced from third parties.

i. Retiring: UCCs are retired on behalf of the purchaser of the VCCs from Certified Carbon Ltd. UCCs may be retired by Certified Carbon Ltd, or on our instruction, prior to the allocation to a purchaser of VCCs.

ii. No Claim to Underlying Carbon Credits: When purchasing VCCs through CertifiedCarbon.com, you acknowledge and agree that the buyer has no claim to the underlying carbon credit (UCC), which remains the property Certified Carbon Ltd, or an affiliate or third-party nominated by Certified Carbon Ltd.

iii. Uncertainty of Carbon Savings: Certified Carbon Ltd cannot guarantee that the VCCs, and the related UCCs, will always deliver the intended carbon savings due to the inherent uncertainty associated with the underlying projects run by third parties.

iv. Non-transferable: Under no circumstances can buyers of VCCs through, or from, CertifiedCarbon.com transfer or sell such credits to any third-party. Certified Carbon Ltd is bound by agreements with carbon credit registries, and other providers or originators of carbon credit, that may expressly forbid the onward transfer of credits beyond Certified Carbon Ltd. This includes the UCCs and we restrict the onward sale of any VCCs through these Terms.

v. No agents: you are only able to purchase VCCs from Certified Carbon Ltd acting as a Principal, not as an Agent.

vi. Equivalence: we will only sell a single 1 tonne of CO2e VCC through our website for each 1 tonne of CO2e UCC.

vii. Registry: we maintain a registry of all VCCs sold by Certified Carbon Ltd and all UCCs acquired by Certified Carbon Ltd. You may request a copy of the registry records to which you are a direct counterparty.

b. Certified Carbon Registry: We maintain a public registry of companies that have reported at least one of (i) their carbon footprint (ii) their carbon reduction actions and/or (iii) their carbon offsets. Companies' details, including their carbon-neutral status, are generally publicly viewable.

1.2. Amendment of Terms: Certified Carbon Ltd reserves the right to modify or update these Terms at any time, with changes taking effect upon posting on the website. It is your responsibility to regularly review these Terms for updates. Your continued use of the website signifies your acceptance of any changes.

2. Registration and Account

2.1. Account Creation: To use certain features of CertifiedCarbon.com, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and agree to accept responsibility for all activities that occur under your account.

2.2. Accuracy of Information: You must provide accurate, current, and complete information when creating your account and using our services. You agree to promptly update any information to ensure it remains accurate.

3. User Obligations

3.1. Compliance with Laws: You agree to use CertifiedCarbon.com in compliance with all applicable local, national, and international laws and regulations.

3.2. Prohibited Activities: You shall not engage in any activities that:

a. Violate the rights of others, including intellectual property rights.

b. Impersonate any person or entity.

c. Transmit any harmful code, malware, or any content that is unlawful or inappropriate.

3.3. Irrevocable Royalty-Free Use: By submitting any information, content, or materials to CertifiedCarbon.com, you grant Certified Carbon Ltd an irrevocable, royalty-free, worldwide license to use, modify, display, reproduce, and distribute such content for the purposes of providing and promoting our services, including the Certified Carbon Registry. This license shall survive any termination of your account or these Terms.

3.4. Unavailability: Certified Carbon Ltd reserves the right to modify, suspend, or discontinue any part of the website or services at any time without notice.

4. Intellectual Property

4.1. Ownership: All content and materials on CertifiedCarbon.com, including but not limited to text, graphics, logos, images, and software, are the property of Certified Carbon Ltd and are protected by intellectual property laws.

4.2. Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use the website and its content solely for personal and non-commercial purposes. Please contact us if you wish to reproduce or use the information on our website for any commercial purposes. Such usage will be at our sole discretion.

5. Privacy

Your use of CertifiedCarbon.com is also governed by our Privacy Policy, which can be found at www.certifiedcarbon.com/privacy-policy.

6. Limitation of Liability

Certified Carbon Ltd shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to your use of our website or services. You agree that any and all liabilities, in the event they are proven to be payable by Certified Carbon Ltd, shall be capped at a total aggregate consideration of £1.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Kingdom. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
