Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the CertifiedCarbon.com website and the Certified Carbon tracking application (the "Services"), operated by Certified Carbon Ltd ("the Company"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.
1. General Services
1.1. Service Overview: Certified Carbon Ltd provides the following primary services:
Carbon Footprint Application (SME Route): An automated, spend-based carbon footprint analysis tool that integrates with third-party platforms, including Xero and Google, to pull financial and identity data for emissions reporting and target setting.
Carbon Offset Sales: The sale of voluntary carbon credits (“VCCs”) relating to underlying carbon credits (“UCCs”) sourced from third parties.
Certified Carbon Registry: A public registry of companies that have reported their carbon footprint, reduction actions, or offsets.
1.2. Carbon Offset Specifics:
Retiring: UCCs are retired on behalf of the purchaser. UCCs may be retired by the Company prior to VCC allocation.
No Claim to Underlying Credits: Buyers of VCCs acknowledge they have no claim to the underlying carbon credit (UCC), which remains the property of the Company or its affiliates.
Uncertainty: The Company cannot guarantee that VCCs will always deliver intended carbon savings due to inherent project uncertainties.
Non-transferable: Buyers may not transfer or sell VCCs to any third party.
2. Registration and Subscriptions
2.1. Account Creation: Certain features require an account. You are responsible for maintaining account confidentiality and for all activities under your account.
2.2. Accuracy: You must provide accurate, current, and complete information and update it promptly to ensure continued accuracy.
2.3. Paid Subscriptions:
Free Trial: If offered, your 7-day free trial requires credit card details upfront. Unless cancelled before the end of the trial period, the monthly subscription fee will be charged on day 8.
Non-Refundability: All subscription fees are strictly non-refundable. We do not provide credits or refunds for any partial subscription periods or unused services.
Price Changes: We reserve the right to change our subscription fees upon 30 days' notice.
3. Third-Party Integrations
3.1. Xero & Google Integration: Our application uses the Xero API to pull spend data and Google OAuth for authentication.
Data Access: By using these integrations, you grant us permission to access the data necessary to perform the Services.
Revocation: You may revoke access at any time through your respective Google or Xero account settings.
Third-Party Terms: Certified Carbon Ltd is not responsible for any issues, downtime, or data loss caused by these third-party platforms.
4. User Obligations & Intellectual Property
4.1. Compliance: You agree to use the Services in compliance with all applicable laws and regulations.
4.2. Prohibited Activities: You shall not engage in activities that violate rights, impersonate others, or transmit harmful code.
4.3. Royalty-Free License: By submitting content to the Services, you grant the Company an irrevocable, royalty-free, worldwide license to use and distribute such content for providing and promoting our services, including the Registry.
4.4. Reports: Upon full payment, you are granted a non-exclusive license to use the generated PDF reports for your internal business purposes and for public disclosure of sustainability efforts.
5. Limitation of Liability
5.1. No Consequential Liability: To the maximum extent permitted by law, Certified Carbon Ltd shall not be liable for any direct, indirect, incidental, consequential, or special damages (including loss of profits or business interruption) arising from your use of our Services.
5.2. Maximum Aggregate Liability: You agree that the total aggregate liability of Certified Carbon Ltd for any and all claims, in the event they are proven to be payable, shall be capped at a total of £1.00 (One Pound Sterling).
6. Privacy
Your use of CertifiedCarbon.com is also governed by our Privacy Policy, which details our adherence to Google API Limited Use requirements and Xero data handling standards.
7. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Kingdom. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
